Coaching Agreement

This agreement ("Agreement") is made effective on the date of purchase ("Effective Date") between Amy Gorey, the Coach, and the Client purchasing the product. If purchased for a third party, the terms apply to the third party, and payment obligations remain with the purchaser.

Purpose:
This Agreement outlines the relationship between the Coach and Client, defining respective roles, communication processes, and expectations to ensure a productive coaching experience.

1. Terms of Service

The Coach will provide consultations as described in the Private Coaching Package (Attachment A), which includes coaching and tele-coaching. The Coach does not provide medical, therapeutic, or psychological services. If the Client is under psychiatric care or medical supervision, they must inform the Coach before beginning coaching. Sessions are scheduled collaboratively, and cancellations/rescheduling must occur at least 24 hours in advance; otherwise, the session is forfeited.

2. Methodology

The Coach employs various methods, including coaching and mentorship. The Client agrees to be open to these methods but acknowledges that no specific outcomes or results are guaranteed.

3. Payment Terms

Payment will be made through the website or another agreed method, as specified in Attachment A. The Client agrees to no refunds, and full payment is due even if the Client chooses to discontinue the package. If the Client fails to pay on time, sessions will be forfeited, and legal action may be pursued for non-payment.

4. Disclaimers

Amy Gorey is not a psychologist, therapist, attorney, or financial advisor. Coaching is not a substitute for professional medical or psychological treatment. The Coach may recommend third-party services, but is not liable for these services or their outcomes. No guarantees are made regarding the success of the Client's use of Coach's programs.

5. Confidentiality

This Agreement is a mutual non-disclosure agreement. Both parties agree not to disclose any information shared during coaching sessions. Confidentiality obligations survive the termination of this Agreement, except for information obtained from third parties.

6. Recording of Calls

The Client acknowledges that calls may be recorded for the purpose of fulfilling this Agreement.

7. Intellectual Property

The Coach retains all intellectual property rights to materials created as part of the coaching process. The Client is granted a personal, non-transferable license to use the materials provided. No ownership rights are transferred to the Client.

8. Disclaimer of Warranties

The services provided are "as-is" with no warranties regarding quality, performance, or fitness for a particular purpose.

9. Indemnification

Each party agrees to indemnify and hold harmless the other party from any claims, losses, or damages arising from negligence, breach of agreement, or damages caused by the indemnifying party.

10. Non-Disparagement

Neither party will make any disparaging remarks, public or private, about the other. This includes written, verbal, or electronic communication that could harm the reputation of the other party or its affiliates.

11. Dispute Resolution

Disputes not resolved through good faith negotiation will be submitted to arbitration under the American Arbitration Association within 90 days from the arbitration demand. Arbitration will take place in Olympia, Washington or via phone. The arbitrator's decision will be final and binding.

12. Governing Law

This Agreement is governed by the laws of the State of Washington. If any provision is deemed invalid, the rest of the Agreement remains in effect.

13. Good Faith

Both parties agree to act in good faith throughout the negotiation, execution, and performance of this Agreement.

14. Entire Agreement

This Agreement supersedes all previous agreements, whether written or oral. Any modifications must be made in writing and signed by both parties.

By signing, both parties acknowledge understanding and acceptance of the terms of this Agreement as of the Effective Date.
